All Merchant applicants require approval from PayAff.com; http://PayAff.com before becoming an active Merchant. PayAff.com  reserves the right to withhold or refuse approval of any Merchant application for any reason.

Fees and Payment Terms:

Deposits are conveniently processed through the PayAff.com system using the secure services of PayPal.com.

PayAff.com has a single fee to cover your affiliate network access, software tools usage, and affiliate payment processing tasks which is equal to 19% of earned affiliate commissions.. There are no other fees or activations charges.

You must pay PayAff.com any commissions owing plus the 19% service charge upon receipt of a PayAff.com invoice in order for the your offers to maintain a visible (LIVE) status. All leads/sales generated while an offer is on "Hold" will be set to the "Pending" status until you complete a Merchant Account Deposit to cover all affiliate transaction commissions due.


Offers:

You will be supplied with an offer tracking code which must be placed on your "Thank you" or offer sales "Confirmation page", and you agree not to add anything on the "Thank You" or offer sales "Confirmation page" that will distract the user away from the sign-up/purchase process. These distractions include: banners, links to other websites, co-registrations, pop-ups, and pop-unders.

All of your offers must first be approved by PayAff.com before they can become live on the PayAff.com affiliate network marketplace.


Spamming:

Any occurrence of SPAM can and will result in termination of your account and revoking of future privileges.


Use of E-mail conditions:

For email campaigns PayAff.com will comply with all aspects of state and federal laws and regulations including but not limited to the Can-Spam Act of 2003; and PayAff.com will not submit a Campaign for transmission of any E-mail: (a) with a "from line" that is materially false or misleading and does not accurately identify the person sending the E-mail; (b) with a subject line that is misleading, false or misrepresentative or is likely to mislead the recipient about the content of the E-mail; (c) that does not include a clear and conspicuous identification that the E-mail is an advertisement or solicitation, a clear and conspicuous notice of the opportunity to decline to receive further communications, and a valid physical postal address of the Merchant and Publisher; or (d) with any content that (i) infringes or violates any intellectual, proprietary or privacy rights; or (ii) is misrepresentative, defamatory or violates any applicable law. PayAff.com also represent and warrant that they will not transmit a Campaign including an E-mail to any individual that has requested not to receive any E-mails more than seven (7) days after receipt of such request, provided that the E-mail falls within the scope of the request. These requirements will be flowed down to all PayAff.com affiliates/merchants and failure to comply will result in the removal of the offending affiliate/merchant from the PayAff.com network.


Right of Refusal:

PayAff.com reserves the right to refuse the inclusion, promotion, and advertising of any Merchant offer.


Indemnification:

You agree to indemnify and hold PayAff.com harmless from and against any and all claims, demands, liabilities, expenses, losses, damages or attorney fees arising from any and all claims and lawsuits for libel, slander, copyright, and trademark violation as well as all other claims resulting from a Merchants  web pages. You agree to settle any dispute under this agreement under the laws of Canada and the Province of Ontario. Any litigation arising under this agreement will be brought in the Province of Ontario Canada.

PayAff.com is not liable for delays in delivery and/or non-delivery in the event of an act of God, actions by any governmental or quasi-governmental entity, Internet failure, equipment failure, power outage, fire, earthquake, flood, insurrection, riot, act of terrorism, act of war, explosion, embargo, strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, or any condition beyond PayAff.com's control affecting production or delivery in any manner.


Changes to these terms and conditions:

PayAff.com reserves the right to make any changes to these terms and conditions at any time and for any reason.

ALL PayAff.com MERCHANTS MUST COMPLY COMPLETELY WITH ALL THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT.
