Affiliate Network Marketplace, and by clicking on the
acceptance link at the end of this form, you agree to the following terms and
conditions:
All affiliate applicants require approval from PayAff.com;
http://PayAff.com before becoming an active affiliate. PayAff.com
reserves the right to withhold or refuse approval of any affiliate application
for any reason.
Your Website Criteria:
Be written in English.
Have a top-level name.
Be content-rich and not exclusively based only on links or
advertisements.
Must not offer incentives to click on ads such as awarding points, cash,
prizes, contest entries, etc.
Must have no "under construction" pages.
Must not make use of pop-ups and exit pop-ups.
Must not use frames that block users from leaving your site.
You affirm that any content on your website is legal to
distribute, and that you own or have the legal right to use any and all
copyrighted material.
Will only run PayAff.com approved offer banners and text links in their
advertising of our programs.
Must not create your own banners or advertising text, to promote our
merchant offers unless expressly approved in writing PayAff.com. Violation of
this forfeits your commissions.
Must not spam or send unsolicited email mentioning or promoting the
PayAff.com merchant offers. Violation of this will result in the affiliate
being liable for damages of $1.00 per spam email sent and other damages as
deemed by a court of law.
Must not contain any adult content nor link to or from any adult web sites
which include:
Pornography of any kind.
Explicit, vulgar or obscene language.
Sexually explicit images or other offensive content.
Promotion and advertisement of any adult services.
Any spoofing, or trafficking from adult-related web sites in an effort to
gain traffic.
The web site content must not infringe on intellectual or personal
property copyrights including but not limited to:
Any illegal activity whatsoever.
Any type questionable or controversial subject matter.
Illegal Investment and money-making opportunities.
Promotion of violence or profanity.
Racial, ethnic, political, hate-mongering or any other objectionable
content.
Content, articles, instructions, or any other related material that
defames, abuses, or threatens physical harm to others.
Promotion or distribution of illegal substances or activities such as
illegal online gambling, building weapons, counterfeiting money, etc.
Illegal Software Pirating (e.g., Warez, Crack Codes, Serial Numbers).
Hacking or Phreaking, or any other content related to harming or
compromising network and computer systems.
- Any fraudulent traffic generation on your part for the purpose of
registering false clicks, etc as determined solely by PayAff.com will cause you
to forfeit your entire commission for all programs and your account will be
terminated. PayAff.com reserves the exclusive right in determining fraud, and
you must agree to this clause.
- It is your obligation to prove to PayAff.com that you are not committing click
fraud, or any other fraud whatsoever. PayAff.com will set your payment status to
'Pending' until PayAff.com has analyzed your evidence and determined that you
are not defrauding or attempting to defraud the PayAff.com network, program or system.
Criteria used to flag accounts with questionable activities:
Report of fraudulent leads by PayAff.com merchants.
Automated or fake redirects, any type of automated software, and/or fraud
to generate clicks or leads to our merchants.
Web sites with higher than industry average click-through rates where
reasonable explanation of the cause is not available.
Using click only programs on sites that do not indicate the capacity to
generate enough unique traffic for these links.
Use of E-mail conditions:
For email campaigns, the affiliate will comply with all aspects of state and
federal laws and regulations including but not limited to the Can-Spam Act of
2003; and the affiliate will not submit a Campaign for transmission of any
E-mail: (a) with a “from line” that is materially false or misleading and does
not accurately identify the person sending the E-mail; (b) with a subject line
that is misleading, false or misrepresentative or is likely to mislead the
recipient about the content of the E-mail; (c) that does not include a clear and
conspicuous identification that the E-mail is an advertisement or solicitation,
a clear and conspicuous notice of the opportunity to decline to receive further
communications, and a valid physical postal address of the Advertiser and
Publisher; or (d) with any content that (i) infringes or violates any
intellectual, proprietary or privacy rights; or (ii) is misrepresentative,
defamatory or violates any applicable law. The affiliate also represent and
warrant that they will not transmit a Campaign including an E-mail to any
individual that has requested not to receive any E-mails more than seven (7)
days after receipt of such request, provided that the E-mail falls within the
scope of the request. Failure to comply will result in the removal of the
affiliate from the PayAff.com approved affiliate system.
Payment Terms:
To the best of our abilities, payments will be made 25 days after the month's end in which earnings were accrued
and after receiving payment from the merchant. There is a $30.00
USD
monthly check minimum. If this minimum is not met, the payment balance will be
carried over to the next month for processing or until the $30.00 USD minimum is
reached. PayAff.com does not guarantee payment to the affiliate until the
merchant has made the appropriate funds deposit to their PayAff.com account to
cover their affiliate payments.
PayAff.com reserves the right to withhold payment from any affiliate who
exhibits questionable activity. Fraud is monitored constantly and will NOT be
tolerated.
Modifying a PayAff.com merchant's offer images or text copy is prohibited.
The affiliate will only use the approved banners and text links provided in
the PayAff.com merchant offers directory. Any use of unapproved image or text
links and/or sign-up processes will result in the loss of all sign ups/leads
accrued for the affiliate.
PayAff.com reserves the right to terminate any affiliate's agreement and
remove the affiliate from the PayAff.com system for any reason whatsoever.
Termination notice will be provided via e-mail and will be effective
immediately. All legitimate commissions due to the affiliate will be paid
during the next payment processing cycle. If proof is provided that the
affiliate has defrauded PayAff.com, then the payment will be revoked as
determined exclusively by PayAff.com.
Indemnification:
The affiliate agrees to indemnify and hold PayAff.com
harmless from and against any and all claims, demands, liabilities, expenses,
losses, damages or attorney fees arising from any and all claims and lawsuits
for libel, slander, copyright, and trademark violation as well as all other
claims resulting from an affiliates or advertiser's web pages.
PayAff.com reserves the right to change the conditions of any part of this
agreement at any time. Change notices are sent to the affiliate by email, and
the affiliates is responsible for complying with any changes to the amended
agreement within 10 calendar days from the date of change. If the affiliate
does not terminate this agreement within those 10 calendar days, then this
will constitute acceptance of the changes to this agreement.
PayAff.com gives no warranty, express or implied, for any and all services
and products provided, including, but not limited to, warranty of
merchantability and warranty of fitness for a particular purpose. This
statement expressly includes any reimbursement for losses of income due to
disruption of service by PayAff.com or its upstream providers.
You agree to settle any dispute under this agreement under the laws of
Canada and the Province of Ontario. Any litigation arising under this
Agreement will be brought in the Province of Ontario Canada..
Any legal action taken by an advertiser, agency, client, person, or entity
against PayAff.com for actions of you (the affiliate) that violate these terms
and conditions, you accept that PayAff.com will work with the advertiser,
agency, client, person, or entity to divulge your personal information. You
also agree that PayAff.com is not liable for your actions, and you will bear
all costs (legal or otherwise) that PayAff.com incurs if PayAff.com is sued by
merchant, advertiser, client, agency, person, or entity.
If any provision of this agreement shall be held or made invalid or
unenforceable by a court decision, statute, rule or otherwise, the remaining
provisions of this agreement shall not be affected thereby.
You must be 18 years or older to sign up as a PayAff.com affiliate.
ALL PayAff.COM AFFILIATES MUST COMPLY COMPLETELY WITH ALL THE TERMS AND
CONDITIONS SET FORTH IN THIS AGREEMENT. WE RESERVE THE RIGHT TO WITHHOLD
PAYMENT FROM ANY AFFILIATE THAT VIOLATES ANY OF THESE TERMS.
